This Terms of Service governs the relationship between you and Adaptensor, Inc., an Arkansas corporation with its principal place of business in Cove, Arkansas, USA, operating the brand SPARCL through the website sparcl.featherpulse.com. References to "we," "us," or "SPARCL" mean Adaptensor, Inc. acting through that brand.

1. Acceptance of Terms

By accessing the SPARCL website, requesting a quote, placing an order, or otherwise engaging with our offerings, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the site or our offerings.

2. Eligibility

You represent that (a) you are at least 18 years old, (b) you have authority to bind the entity you purport to represent, and (c) your use of our offerings will comply with all applicable laws, regulations, and licensing requirements in your jurisdiction, including occupational safety, environmental, customs, and export-control laws.

3. Offerings

SPARCL provides robotic integration, computer-vision systems, and laser-ablation automation services. Specifications, lead times, pricing, and availability are subject to change without notice and are not binding until confirmed in writing on a signed quote, purchase order, or sales acknowledgement issued by us. Marketing copy on the site is descriptive, not a guarantee of fitness for a particular use.

4. Country-of-Origin Statement

Hardware sold under the SPARCL brand is assembled in the United States from a combination of domestic and imported components, including parts sourced from Germany, Taiwan, China, and the United States. We do not claim the products are "Made in the USA" within the meaning of the FTC's enforcement guidance on unqualified U.S.-origin claims.

5. Quotes, Orders, and Payment

Quotes are valid for thirty (30) days from issue unless otherwise stated. Orders bind only when we issue a written acknowledgement and receive payment or approved credit terms. Title and risk of loss for hardware pass to you on delivery to the carrier (FOB origin) unless the order specifies otherwise. Late payments accrue interest at the lower of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs.

6. Shipping, Taxes, and Compliance

Unless quoted otherwise, prices are exclusive of taxes, duties, freight, and insurance. The customer is the importer of record for international shipments and is responsible for export-control screening, end-use diligence, and any required authorisations under U.S. EAR / OFAC and the laws of the destination country.

7. Intellectual Property

All content on this website—including text, images, logos, product designs, code, and embedded data—is the property of Adaptensor, Inc. or its licensors and is protected by U.S. and international intellectual property laws. You may not reproduce, redistribute, scrape, train AI models on, or create derivative works from the site or its contents without our prior written consent.

8. Acceptable Use

Use of our offerings is also governed by our Acceptable Use Policy. You must not use our products or services to violate any law, infringe rights, operate equipment without required training and personal protective equipment, or in any application where failure of the equipment could reasonably be expected to cause death, serious bodily injury, or significant environmental harm absent the customer's own redundant safety controls.

9. Warranty Disclaimer

Our limited product warranty is set out in the Warranty Policy. Except as expressly stated there, all offerings are provided "AS IS" and "AS AVAILABLE", and we disclaim all other warranties, whether express, implied, statutory, or otherwise—including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

10. Limitation of Liability

To the maximum extent permitted by law, Adaptensor, Inc.'s aggregate liability arising out of or relating to these Terms or our offerings shall not exceed the amount the customer paid to us for the specific offering giving rise to the claim during the twelve (12) months preceding the event. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or cost of substitute goods, even if advised of the possibility. These limitations apply regardless of the legal theory and survive termination.

11. Indemnification

You agree to indemnify, defend, and hold harmless Adaptensor, Inc., its officers, employees, and contractors from any claim, loss, or liability arising from (a) your use of the offerings, (b) your violation of these Terms or applicable law, or (c) injury, property damage, or environmental release caused by your operation, modification, or integration of our hardware.

12. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, pandemic, supply-chain disruption, or carrier failure.

13. Termination

We may suspend or terminate your access to the site or any account at any time, with or without notice, if we believe you have violated these Terms, applicable law, or our Acceptable Use Policy. Sections of these Terms intended to survive termination shall survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-laws principles. The parties agree that any dispute will be resolved exclusively in the state or federal courts located in Polk County, Arkansas, and each party submits to the personal jurisdiction of those courts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

15. Changes to These Terms

We may revise these Terms from time to time by posting an updated version on the site and updating the "Last Updated" date above. Your continued use of the site after the revision takes effect constitutes acceptance.
